Terms of Use & End-User License Agreement

These Terms of Use and this End-User License Agreement (together, the “Agreement”) govern your use of the Felstow Bookkeeping software application (the “Application”) provided by Felstow Bookkeeping and Consulting LLC (“Felstow Bookkeeping,” “we,” “us,” or “our”). By authorizing or using the Application, you agree to this Agreement.
1. The Application
The Application is a private software tool that connects to a client’s QuickBooks Online company through Intuit’s authorized API. It is used by Felstow Bookkeeping to read financial data and record bookkeeping entries in order to deliver bookkeeping services to that client. The Application is not sold, licensed, or distributed to the general public.
2. License grant
Subject to this Agreement, we grant each client a limited, non-exclusive, non-transferable, revocable license to allow the Application to access their authorized QuickBooks Online company for the duration of their bookkeeping engagement with us.
3. Authorization and accounts
- Access is established only through Intuit’s secure OAuth 2.0 authorization flow. We never request or store QuickBooks Online passwords.
- You are responsible for ensuring that the person authorizing the connection has the authority to grant access to the relevant QuickBooks Online company.
- You may revoke the Application’s access at any time from the Apps area of your QuickBooks Online account.
4. Acceptable use
You agree not to use, or attempt to use, the Application to:
- Access any QuickBooks Online company you are not authorized to access;
- Interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Application or related systems;
- Use the Application in violation of any applicable law or of Intuit’s terms.
5. Relationship with Intuit
The Application uses Intuit’s QuickBooks Online API but is not endorsed, sponsored, or operated by Intuit. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Intuit is not a party to this Agreement and is not responsible for the Application. Your use of QuickBooks Online remains governed by your agreement with Intuit.
6. Data and privacy
Our collection, use, and protection of information in connection with the Application is described in our Privacy Policy, which is incorporated into this Agreement by reference.
7. Intellectual property
The Application and its underlying software remain the property of Felstow Bookkeeping. This Agreement does not transfer any ownership rights. Your QuickBooks Online data remains your property.
8. Disclaimer of warranties
The Application is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Application will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by law, Felstow Bookkeeping will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Application. Nothing in this Agreement limits liability that cannot be limited under applicable law.
10. Term and termination
This Agreement remains in effect while the Application is authorized to access your QuickBooks Online company. We or the client may terminate it at any time by revoking authorization or ending the bookkeeping engagement. Sections that by their nature should survive termination will survive.
11. Changes to this Agreement
We may update this Agreement from time to time. The “Last updated” date above reflects the most recent revision. Continued use of the Application after an update constitutes acceptance of the revised Agreement.
12. Governing law
This Agreement is governed by the laws of the United States and of the State of Minnesota, without regard to conflict-of-law principles.
